By accessing or using the website of Neena Impex Private Limited (“Neena Impex”, “the Company”, “we”, “us” or “our”), you agree to be bound by these Terms & Conditions and any additional terms referenced below that may apply to specific areas of the website from time to time.

1. General Terms and Conditions

1.1 By accessing or using the website https://neenaimpex.com, whether automated or otherwise, you — a registered or guest user in terms of the eligibility criteria set out herein (“User”) — agree to be bound by these Terms & Conditions (“Terms of Use”). We encourage Users to read these Terms of Use carefully while using the website.

1.2 The website is owned and operated by Neena Impex Private Limited, a company incorporated under the Companies Act, 2013, bearing corporate identity number (CIN) [CIN to be updated]. All references to the website in these Terms of Use refer to the aforesaid entity, including the online portal.

1.3 These contents form an electronic record in terms of the Information Technology Act, 2000 and the rules made thereunder, as amended. This document does not require any physical or digital signature and forms a valid and binding agreement between the website and the User.

1.4 We reserve the right to change these Terms of Use at any time. Changes are effective from the date and time of posting. By continuing to use the website after we post any such changes, you accept the Terms of Use as modified.

2. Customer Eligibility

2.1 Use of the website is available only to persons who can legally contract under the Indian Contract Act, 1872. Persons who are “incompetent to contract” — including minors and un-discharged insolvents — are not eligible to use the website.

2.2 The website reserves the right to terminate any membership and/or refuse access if it is discovered that a person accessing the website is under the age of 18 years.

2.3 By accepting these Terms of Use, the User declares that he or she is of legal age and capable of entering into a binding contract.

2.4 The User must have a rupee-denominated savings or current account with a bank in India.

2.5 The User must have a PAN (Permanent Account Number) allotted by the Income Tax Department of India.

2.6 By accepting these Terms of Use, you acknowledge that you have read and understood the risks involved in lending and/or borrowing through the website.

2.7 Eligibility criteria applicable to borrowers, including minimum income, loan amount and tenure limits, will be indicated on the website and may be updated from time to time.

3. Sign Up and Registration

3.1 A person may access the website by registering or as a guest. A guest user may not have access to all sections of the website, which may be reserved for registered Users.

3.2 Eligible Users who wish to register must create an account by providing the details prescribed on the website.

3.3 By applying for registration, you authorise us to carry out identity, KYC and fraud checks, to obtain your credit information from a Credit Information Bureau, and to carry out residence and/or employment verification as applicable.

3.4 If any User provides information that is untrue, false, outdated or incomplete — or if we have reasonable grounds to believe so — we may suspend or terminate the relevant account and refuse current or future use of the website.

3.5 Users may be required to provide personal information, the collection, storage, use and disclosure of which is subject to our Privacy Policy.

3.6 There is no fee charged for registration.

4. Use of the Website

4.1 Registered Users are solely responsible for activities relating to their account, and the website shall not be held responsible for any illegal acts, including misuse, unauthorised access or hacking.

4.2 If any User becomes aware of any instance of hacking or misuse of their account, they shall notify the website without delay.

4.3 We may refuse to act on any instruction that we believe was unclear, was not given by the User, might cause us to breach a legal or other duty, or suggests that the website is being used for an unlawful purpose.

4.4 The website grants each User a limited, non-exclusive and revocable licence to access the website, only to the extent that such use does not violate these Terms of Use.

4.5 The User is responsible for obtaining access to the website, including any third-party fees, and for all equipment necessary to access it. The User must not bypass any measures implemented to restrict access.

4.6 Under no circumstances shall any User copy, download, store or otherwise use the content of the website for any commercial purpose. Doing so constitutes a material breach of these Terms of Use.

4.7 The website may be inaccessible from time to time, including for maintenance. The website shall not be liable for any losses or claims arising out of such inaccessibility.

4.8 The website reserves the right to refuse or cancel any registration, remove any person from the website, and limit or terminate access at any time without notice.

5. Terms and Process for Lending

5.1 A lender may select one or more borrower profiles listed on the website to whom the lender wishes to lend.

5.2On selecting a borrower, the lender transfers the amount they wish to lend to the designated account through permitted banking channels. Once the funds are received and verified, the amount is reflected in the lender’s account on the website. This may take a few working hours and, if transferred after the applicable cut-off time or on a holiday, may reflect on the next working day.

5.3On confirming the borrower profile, the relevant amount is debited from the lender’s account, the lender and borrower sign the loan agreement, and the amount is transferred to the selected borrower.

5.4 The website may charge applicable facilitation fees and charges, which may be revised from time to time. Any such changes will be communicated to the lender through email, SMS or notification.

6. Terms and Conditions for Borrowing

6.1 A borrower may borrow through the website by posting a loan requirement and completing the application process, including providing bank account details for repayments.

6.2 By posting a loan request, you agree to provide any additional information we request; you acknowledge that inaccurate or deficient information may render the request void; and you authorise us to obtain your credit information from a Credit Information Bureau in India for the purpose of assessing your creditworthiness.

6.3 You provide your free consent authorising Neena Impex and its service providers to obtain your credit information report and credit score from a licensed credit information company, solely for the purpose of risk assessment and credit underwriting.

6.4Where required, and after considering the borrower’s profile, the Company may request the borrower to arrange a co-signor as a condition for disbursement. If the borrower fails to do so, the Company may reject the loan request.

6.5The borrower agrees to sign and execute the loan agreement, electronically or physically. On execution of all required documents and fulfilment of all conditions for disbursement, the loan amount will be credited to the borrower’s account.

7. Charges and Fees

7.1 The website may charge fees and charges, including a loan processing charge, applicable interest charges, and administrative charges relating to servicing and recovery.

7.2 Applicable charges — including any late-payment or penal charges, cancellation charges, and costs relating to stamp duty and documentation — will be set out in the sanction letter or loan agreement. The specific amounts applicable to your loan will be communicated to you before the loan is availed.

7.3 Any late-payment or penal charges will be applied in accordance with the loan agreement and applicable regulatory requirements. The Company may revise its schedule of charges from time to time.

8. Settlement of Payment

8.1Any monies received from the borrower, including delay or penal charges, are held in the designated account and recorded as a credit to the lender’s account on the website.

8.2Collected repayments are transferred to the lender’s account within a few working days of receipt of the instalment from the borrower. The lender may withdraw funds from their account to their registered bank account by giving us an instruction, and will not earn interest on funds held in their account on the website.

8.3 Repayment and credit amounts may be rounded to the nearest applicable value; any residual amount resulting from such rounding may be retained by the platform as an adjustment amount.

9. Loan Administration

9.1 EMI. Equated Monthly Instalments (EMIs) begin as per the date of disbursement of the loan.

9.2 Prepayment. A borrower who wishes to prepay the loan may do so in accordance with the terms of the loan agreement. To initiate prepayment, please email us at info@neenaimpex.com. Any interest payable up to the date of prepayment will be determined as per the loan agreement.

9.3 Missed Repayments. If a borrower misses a repayment or anticipates being unable to repay as scheduled, the borrower should promptly contact us by email. We will explain the applicable delay charges and options, inform the relevant lender, advise if the account is being passed to the recovery team, and report the default to the Credit Information Bureau, which may affect your ability to avail credit in the future.

9.4 Default Category.A borrower may be classified as being in “default” if they fail to pay the EMI for three consecutive months, on confirmation of the borrower’s death, or in other specific situations that the website may determine.

9.5 Repayment Date Changes. A borrower may request a change to the repayment date by notifying us and specifying the new date. Such a change may be permitted a limited number of times, may result in an adjustment to the amount payable, and may attract applicable charges. We may request justification for the change and reserve the right not to complete the request at our discretion.

10. Closing Your Account

10.1 You may close your account at any time by giving us notice by email at info@neenaimpex.com. However, you will not be able to close your account if you have any outstanding obligations under any loan agreement or any funds in your account.

10.2We may close your account by giving you at least 30 days’ notice, or immediately if you have breached these Terms of Use, if we suspect fraudulent or illegal activity, if we are required to do so by law or a regulatory authority, or if we reasonably believe that continued access could damage our reputation or business.

10.3 If we close your account, we will transfer any funds in it to your nominated bank account within 30 days of closure.

11. Privacy and Data Protection

11.1 We are committed to protecting your privacy and personal data. Our Privacy Policy explains how we collect, use and protect your personal information.

11.2 By using the website, you consent to the collection, use and disclosure of your personal information in accordance with our Privacy Policy.

11.3 You acknowledge that the transmission of information over the internet is not completely secure, and we cannot guarantee the security of data transmitted to the website.

12. Use of Content

12.1 You agree not to use the website or any content on it for any unlawful purpose, or in any way that could damage, disable, overburden or impair the website.

12.2 You agree not to upload, post or transmit any content that is unlawful, harmful, abusive, harassing, defamatory, obscene or otherwise objectionable; that harms minors; that impersonates any person or entity; that infringes any intellectual property or other rights; that constitutes unsolicited advertising or spam; or that contains software viruses or other harmful code. You also agree not to interfere with or disrupt the website, or collect or store personal data about other users in connection with such prohibited conduct.

12.3 We do not pre-screen content, but we reserve the right (without obligation) to refuse or remove any content available on the website at our sole discretion.

13. Intellectual Property Rights

13.1 All content on the website — including text, graphics, logos, icons, images, audio clips, downloads and software — is the property of Neena Impex or its content suppliers and is protected by Indian and international copyright laws.

13.2 You may not reproduce, modify, distribute, display, perform or use any content from the website without our prior written consent.

13.3 The trademarks, logos and service marks displayed on the website are the property of Neena Impex or third parties, and may not be used without the prior written consent of the owner.

14. Indemnity

You agree to indemnify, defend and hold harmless Neena Impex, its officers, directors, employees, agents, licensors and suppliers from and against all losses, expenses, damages and costs, including reasonable legal fees, resulting from any violation of these Terms of Use or any activity related to your account by you or any person accessing the website using your account, and from any claim made by a third party arising out of your breach of these Terms of Use, your violation of any law, or your violation of the rights of a third party.

15. Report Abuse and Take-Down

If you believe that any content on the website violates your rights or is otherwise inappropriate, please contact us immediately at info@neenaimpex.com. We will investigate all complaints and take appropriate action, which may include removing the content. We reserve the right to remove any content from the website at any time, without prior notice.

16. Feedback and Information

Any feedback, comments, ideas, improvements or suggestions (“Suggestions”) you provide with respect to the website remain the sole and exclusive property of Neena Impex. We are free to use, copy, modify, publish or redistribute the Suggestions for any purpose, without credit or compensation to you.

17. Applicable Law

These Terms of Use, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of India.

18. Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms of Use, the parties shall first attempt to resolve it through good faith negotiations. If the dispute cannot be resolved within 30 days, either party may refer it to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement. The seat of arbitration shall be New Delhi and the language of arbitration shall be English. The decision of the arbitrator shall be final and binding.

19. Jurisdictional Issues

The website is controlled and operated by Neena Impex from its offices in New Delhi, India. We make no representation that the content on the website is appropriate or available for use in other locations. The courts of New Delhi shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms of Use. If you access the website from outside India, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction.

20. General Provisions

20.1 Notice. Any notice under these Terms of Use shall be in writing and sent by email to the address you provided during registration, or to info@neenaimpex.com for notices to Neena Impex.

20.2 Assignment. You may not assign or transfer your rights or obligations under these Terms of Use without our prior written consent. We may assign or transfer our rights and obligations without your consent.

20.3 Severability. If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.

20.4 Waiver. No waiver of any term shall be deemed a further or continuing waiver of that term or any other term, and our failure to assert any right shall not constitute a waiver of it.

20.5 Relationship. Nothing in these Terms of Use creates a partnership, joint venture or agency relationship between you and Neena Impex.

20.6 Force Majeure. We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, fire, floods, strikes or shortages.

21. Insurance

We may, at our discretion, offer insurance products to protect against unforeseen circumstances such as death, disability or loss of employment. The terms of any such product will be provided separately and are subject to the policy issued by the insurance provider. Borrowers are not required to purchase insurance as a condition of obtaining a loan, unless specifically required by the lender or by law.

22. Defined Terms

  • “Borrower” means a User who applies for and receives a loan through the website;
  • “Lender” means a User who provides funds to borrowers through the website;
  • “Loan Agreement” means the agreement entered into between a borrower and a lender for the provision of a loan;
  • “EMI” means Equated Monthly Instalment, the fixed payment made by a borrower at a specified date each month;
  • “Personal Information” means any information that identifies, or can be used to identify, contact or locate the person to whom it pertains;
  • “Website” means https://neenaimpex.com and any related platforms operated by Neena Impex;
  • “User” means any person who accesses or uses the website, whether as a registered user or as a guest;
  • “Credit Information Bureau” means any credit information company registered with the Reserve Bank of India.
